Welcome to SkySeeker IT Solutions. By using our services, you agree to the following terms and conditions. These terms outline the responsibilities, payment policies, project scope, and other important aspects of our services. Please read them carefully to ensure smooth collaboration and to avoid any misunderstandings.
1. Payment Policy
To ensure a smooth workflow and timely project completion, payments must be made according to the predefined milestones. The payment structure will be discussed and agreed upon before the project begins. Below are the key points related to our payment policy:
- Milestone-Based Payments: Each project phase will only commence after the corresponding milestone payment is received.
- Late Payments: If a payment is delayed beyond 10 days from the due date, the project may be paused, and further work will not continue until the outstanding payment is cleared.
- Termination Due to Non-Payment: If a client fails to make the payment within 30 days of the due date, the company reserves the right to terminate the project without delivering the final files.
- Non-Refundable Payments: All payments made are non-refundable once work has commenced.
2. Scope of Work
The scope of work is clearly defined at the start of the project. Any work beyond the agreed-upon scope will be considered an additional request and may incur extra charges. The following terms apply:
- Initial Agreement: The project requirements, features, and deliverables will be finalized before work begins. Any modifications after the agreement will require an amendment.
- Additional Requests: If a client requests extra features, functionalities, or design changes beyond the agreed scope, a separate quotation will be provided for those additions.
- Approval of Scope Changes: Any modifications must be formally requested in writing and approved by both parties before implementation.
3. Feedback & Revisions
Client feedback plays a crucial role in ensuring that the final product meets expectations. To maintain an efficient workflow, clients must adhere to the following feedback and revision policies:
- Timely Feedback: Clients must provide feedback within 48 hours of receiving project updates or review requests.
- Revision Limits: The project includes a limited number of free revisions as specified in the initial agreement. Any additional revisions beyond the agreed limit will be chargeable.
- Major Revisions: Once a design or functionality is approved, major changes (such as complete redesigns, structural changes, or feature removals) will be considered a new request and may require additional charges.
- Final Approval: Once the final version is approved and delivered, any further modifications will be charged separately.
4. Project Delays & Halt
Timely project completion relies on prompt communication and payments from the client. Any delays in meeting these obligations may result in setbacks or even project termination. The following terms apply:
- Payment Delays: If a client fails to make payments within the agreed period, work may be put on hold until the dues are cleared.
- Client Responsiveness: Timely approvals, responses, and feedback are essential. Delayed responses beyond 7 working days may lead to project rescheduling.
- Termination Clause: If there is no client communication for 30 days without prior notice, the project may be considered abandoned and terminated, with no refunds.
- Liability: SkySeeker IT Solutions is not responsible for any losses incurred due to project delays resulting from delayed client responses.
5. Third-Party Services
Our services often involve integrations with third-party providers, such as hosting companies, payment gateways, domain registrars, and external APIs. While we ensure smooth integration, we are not responsible for any disruptions caused by these services. The following terms apply:
- Third-Party Performance Issues: If a third-party service faces downtime, technical errors, or security breaches, we are not liable for the impact on your project.
- Service Provider Terms: Clients must comply with the terms and conditions of any third-party service used in their project.
- Billing & Charges: Any costs associated with third-party services (such as hosting, SSL certificates, or premium plugins) must be borne by the client.
- Direct Disputes: Any disputes regarding third-party services must be addressed directly with the respective service provider.
6. Project Completion & Handover
Once the project is completed and the final milestone payment is made, we will transfer all necessary project files and assets to the client. The following conditions apply:
- Final Delivery: After receiving the full payment, all project files (such as website code, graphics, and databases) will be delivered.
- Backup Responsibility: Clients are responsible for securing a backup of the project files after handover.
- Ownership Rights: Full ownership of the project will be transferred to the client only after the final payment is made.
- Future Modifications: Any additional modifications after handover will be considered a separate service and charged accordingly.
7. Confidentiality Agreement
Both parties agree to maintain strict confidentiality regarding project details, intellectual property, and sensitive business information. The following terms apply:
- Non-Disclosure: Neither party shall disclose confidential information related to the project to any third party without prior written consent.
- Data Security: We implement security measures to protect client data, but clients must also take necessary precautions to safeguard their own confidential information.
- Exceptions: Confidentiality obligations do not apply to information that is publicly available or required to be disclosed by law.
8. Post-Delivery Support
After the project is completed, clients may require ongoing support and maintenance. The following terms apply:
- Paid Support: Any technical support, updates, or modifications after the project handover will be chargeable unless explicitly covered under the initial agreement.
- Support Packages: Clients can opt for a separate maintenance package that includes regular updates, security checks, and troubleshooting.
- Issue Resolution: We will assist in resolving any issues within the agreed post-delivery support period. However, issues arising due to third-party services or client modifications are not covered.
9. Intellectual Property Rights
SkySeeker IT Solutions respects the ownership rights of clients while maintaining certain rights related to project showcasing. The following conditions apply:
- Ownership Transfer: Full ownership of the website, designs, source code, and project assets will be transferred to the client only after the final payment is received.
- Company Portfolio Rights: SkySeeker IT Solutions retains the right to showcase the completed project in its portfolio, marketing materials, and case studies unless the client specifically requests otherwise in writing.
- Use of Third-Party Assets: If third-party assets (such as stock images, fonts, or plugins) are used, their licenses will be subject to the terms of the original provider.
10. Dispute Resolution
We strive to resolve any disputes amicably through mutual discussion. If disputes cannot be settled, the following terms apply:
- Negotiation First: Both parties agree to attempt a resolution through direct communication before taking any legal steps.
- Legal Action: If a resolution is not reached within 30 days, legal action may be taken in accordance with the applicable local laws.
- Jurisdiction Clause: Any legal proceedings will take place in accordance with the laws of the governing region.
11. Liability Limitation
SkySeeker IT Solutions provides services on a best-effort basis but cannot be held responsible for losses beyond its control. The following conditions apply:
- No Liability for Indirect Damages: We are not liable for indirect losses such as business interruptions, lost profits, data loss, or missed revenue opportunities.
- Technical Limitations: We do not guarantee uninterrupted service due to factors like server downtime, internet issues, or third-party failures.
- Maximum Liability: Our total liability in any case shall not exceed the total amount paid by the client for the project.
12. Agreement Updates
SkySeeker IT Solutions reserves the right to modify these terms when necessary. The following terms apply:
- Notification: Any significant updates to these Terms & Conditions will be communicated to clients via email or other written means before implementation.
- Client Acknowledgment: Continued use of our services after any updates constitutes client acceptance of the revised terms.
- Effective Date: Changes will become effective from the date specified in the update notification.
13. Service Termination
Either party may terminate the agreement under the following conditions:
- Client-Initiated Termination: If the client wishes to terminate the service, a written notice must be provided, and refund policies will apply as per the contract.
- Company-Initiated Termination: SkySeeker IT Solutions may terminate services if the client violates the agreement, fails to make payments, or engages in unethical behavior.
- Refund Policy: Any refunds (if applicable) will be processed based on work completed and as per the original contract terms.
14. Governing Law
This agreement shall be governed by and interpreted in accordance with the applicable laws of the region where SkySeeker IT Solutions operates. Any disputes arising from this agreement shall be settled under the relevant legal framework in the appropriate courts of the governing jurisdiction.
